MemCatcher Influencer Marketing Campaign Agreement
Promotion Profit Sharing Cooperation Agreement for SunProtected MemCatcher Series
Between Party A: INDIASPT (Vendor) & Party B: (Product Influencer or Promoter)
This agreement signifies a mutual cooperation arrangement where Party A provides goods to Party B, and Party B promotes and sells the products for a profit share.
The detailed terms of the agreement are as follows:
Article 1
1. Trial Product and Delivery
1.1. Party A agrees to provide trial products to Party B for promotional and evaluation purposes.
1.2. After mutual discussion and confirmation regarding product placement and content, Party A shall deliver the product to Party B’s designated location.
1.3. Party B must pick up the product within 10 days by Party A. Failure to do so may result in delay or cancellation of the campaign.
2. Manuscript Production and Confirmation
2.1. Party B shall create content (hereinafter “Manuscript”) based on the trial product.
2.2. Party B must finalize and submit the Manuscript within 14 (fourteen) days from the date of receiving the product.
2.3. The Manuscript must be approved by Party A before the campaign proceeds.
3. Campaign Schedule and Execution
3.1. Upon approval of the Manuscript, both Parties shall agree to a 30-day campaign period for sales promotion.
3.2. During the campaign, Party B will promote the product on social media platforms through posts, stories, videos, or any other legal content formats in various social media channels such as Youtube , Instgaram , Facebook , Quora , Reddit , Blogs
3.3. Party B reserves the right to decide whether the 30-day campaign is run continuously or on specific days during the month .
3.4. The number of units sold during the campaign of 30 days using Party B’s promotion shall be used to calculate the profit-sharing commission.
4. E-commerce Link and Discount Guarantee
4.1. Party A will provide an e-commerce purchase link and a unique discount coupon code to Party B for the campaign.
4.2. Party A guarantees that the price offered through Party B’s coupon code will be the lowest price available across all platforms during the sales period.
5. Sales Report and Fulfilment
5.1. At the end of the 30-day campaign, Party A shall generate a sales report including all successful orders made using Party B’s discount coupon codes and
according to the commission table .
5.2 Party B also can check the commissions they have earned through the SPTRONIX website dashboard of affiliate dashboard
5.3 Party A will complete product delivery within 10 working days from the order date and bear all logistics costs.
6. Profit-Sharing Commission and Payment
6.1. Party A will provide a final report of successful transactions approximately 30 days after the end of the sales period.
6.2. Party A shall transfer the agreed profit-sharing commission to Party B’s Indian Rupee (INR) account within 7 working days after submission of the final
report.
6.3. If the payment date falls on a public holiday, the transfer shall be made on the next working day.
6.4. The commission will be based on the Profit-Sharing Commission (%) Table mutually agreed upon in writing before the campaign.
7. Influencer Account & Documentation
7.1. Party B must provide a bank account in their own name (matching the signatory) to receive the profit-sharing amount.
7.2. If Party B is an individual (not representing a company), the following documents must be submitted:
• Copy of Aadhaar Card
• Copy of Bank Passbook or Cancelled Cheque
These documents are necessary for Party A to comply with tax and income reporting laws under the Income Tax Act, 1961.
Article 3: Rights and Responsibilities of Both Parties
Party A’s Responsibilities:
- Provide the trial product to Party B.
- Offer access to the sales platform, warehousing, and logistics support.
- Handle payment collection (capital flow) and provide marketing materials like product descriptions and creatives.
- Manage customer service and warranty.
- Pay profit-sharing commission to Party B after the sales period.
Party A’s Rights:
- Can use, quote, and repost the content created by Party B for marketing or promotional purposes.
Party B’s Responsibilities:
- Try out the product and give an honest experience.
- Create and submit promotional content (manuscript).
- Inform Party A before posting the content.
- Share post-publication links or screenshots once the content is live.
Party B’s Rights:
- Can use the tools and services provided by Party A (like links, coupons, product info).
- Has the right to receive detailed sales reports or check the dashboard in sptronix website related to their campaign.
Article 4: Ownership of Content and Intellectual Property Rights
- Party B can use the marketing materials (images, text, product info) given by Party A, but only for this project.
- All marketing materials shared by Party A remain the property of Party A.
- All content created by Party B (videos, photos, posts) belongs to Party B.
- Party A can use Party B’s content for this project’s marketing, but:
- Must use the full and original content without changing it.
- Must clearly mention Party B as the creator.
- If Party A wants to reproduce or reuse the content elsewhere, they must get Party B’s written permission.
Article 5: Confidentiality Agreement
Party B agrees to keep confidential any commercial secrets and other confidential information of Party A learned through participation in this project. Party B shall not disclose or publicize such information to any third party by any means, nor shall Party B use such information for its own benefit or the benefit of others. If Party B violates this agreement, Party A reserves the right to immediately terminate this agreement or take legal action against Party B if necessary.
Article 6: Dispute Resolution
Commission Eligibility:
Each influencer will be assigned a unique coupon code.
Commissions will be paid only based on sales generated using the assigned coupon.
Each coupon’s redemption will be tracked for the duration of the campaign.
Commission Calculation:
Commissions will be calculated per unit sold.
Commissions will be paid only for sales completed using the assigned coupon. For example, if a coupon is redeemed 10 times with successful payment and order completion, the influencer will receive commission for 10 units.
No commission will be paid for transactions not using the assigned coupon.
Dispute Resolution:
Any dispute regarding sales commission calculations, coupon usage, or campaign performance shall first be attempted to resolve mutually in good faith.
If unresolved, disputes will be referred to arbitration under Shahabad M Court in Shahabad M 136135 , India , and the arbitrator’s decision shall be final and binding.
Article 7: Term of Agreement
This project begins once Party A receives the signed agreement from Party B and ends after Party A pays the commission of 30 days period of campaign only if any sales is generated during the campaign .
If both parties wish to continue working together, new terms must be written and added as an appendix to this agreement or renew the agreement .
Article 8: Miscellaneous
This is not a distribution agreement. Party B is not allowed to sell Party A’s products without written permission , If both parties want to work on product distribution, they must discuss and sign a separate agreement , Anything not covered in this agreement can be discussed and added later in writing.
Party B must sign the original agreement and send it back to Party A. A photocopy can be kept by Party B for records.
